Best Deal Print Solutions – Terms and Conditions

These Terms and Conditions (“Terms”) apply to all quotations, orders, goods, and services (“Goods” and “Services”) provided by Best Deal Print Solutions (“BDP”, “we”, “us”, or “our”) to any customer (“Customer”). By placing an order, approving a quotation, or accepting delivery of Goods or Services, the Customer agrees to be bound by these Terms.
1. Manufacturer
Best Deal Print Solutions acts solely as an independent manufacturer. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or representative relationship between BDP and the Customer. BDP does not manage, control, or guarantee the Customer’s relationships with its clients, brokers, resellers, distributors, or end users.
2. Quotations and Orders
All quotations are valid for thirty (30) days unless otherwise stated and are subject to change due to material availability, specification changes, or errors. Orders are binding only upon written acceptance by BDP. Any changes requested after order acceptance may result in revised pricing, timelines, or specifications.
3. Proofs, Samples, and Approvals
Approval of proofs, samples, mockups, or pre-production materials constitutes acceptance of layout, content, colour, registration, finishing, and specifications. BDP shall not be responsible for errors, defects, or omissions following approval. The Customer is solely responsible for ensuring accuracy prior to approval.
4. Industry Tolerances and Variations
The Customer acknowledges that printing and finishing processes involve inherent variations. Reasonable industry tolerances shall apply with respect to colour, density, gloss, texture, substrate, coating, and finishing, and such variations shall not constitute defects.
5. Delivery and Timelines
All production and delivery dates are estimates only unless expressly guaranteed in writing. BDP shall not be liable for delays caused by material availability, equipment issues, labour constraints, supply chain disruptions, or third-party services, including couriers or finishing vendors.
6. Overruns and Underruns
Quantities are subject to industry-standard overruns or underruns of up to ±10%, which shall constitute acceptable fulfillment of the order and shall be invoiced accordingly.
7. Customer-Supplied Materials
BDP shall not be responsible for defects, delays, or losses arising from Customer-supplied materials, including but not limited to files, substrates, dies, plates, inks, or data, provided such materials are used in accordance with the Customer’s instructions.
8. No Exclusivity
Nothing in these Terms creates any exclusivity obligation. BDP may provide similar Goods or Services to third parties, including competitors of the Customer.
9. Inspection and Claims
The Customer shall inspect Goods upon receipt. Any claims for defects or shortages must be made in writing within five (5) business days of delivery. Failure to provide timely notice constitutes acceptance of the Goods.
10. Limited Remedies
Where a defect is substantiated and attributable to BDP, the Customer’s remedy shall be limited, at BDP’s option, to reprinting the affected portion of the Goods or refunding the amount paid for such portion. No other remedies shall apply.
11. No Liability for Loss of Clients, Accounts, or Business Relationships
To the fullest extent permitted by applicable law, BDP shall not be liable for any loss of business, loss of clients, loss of accounts, loss of contracts, loss of market share, loss of future work, or loss of business relationships suffered by the Customer, including where any client, broker, reseller, distributor, or end user of the Customer elects to transfer, reduce, or discontinue work, or place work with another supplier, broker, or vendor.
The Customer acknowledges and agrees that any such losses constitute indirect, consequential, or economic losses arising from third-party commercial decisions over which BDP has no control, even where such losses are alleged to arise from delay, defect, non-conformity, error, or omission in the Goods or Services supplied.
For greater certainty, BDP does not assume and expressly disclaims any responsibility for managing, preserving, or guaranteeing the Customer’s relationships with its clients, brokers, resellers, or end users, and any loss of such relationships is a commercial risk assumed solely by the Customer.
12. Limitation of Liability
To the fullest extent permitted by law, BDP shall not be liable for any indirect, incidental, consequential, or economic damages, including loss of profits, loss of business, or loss of opportunity. In no event shall BDP’s total aggregate liability for any claim exceed the amount paid by the Customer for the specific Goods or Services giving rise to the claim.
13. Force Majeure
BDP shall not be liable for failure or delay resulting from events beyond its reasonable control, including acts of God, supply shortages, labour disruptions, equipment failure, utility interruptions, or governmental actions.
14. Payment Terms
Payment terms are as stated on the invoice. Late payments may accrue interest at the maximum rate permitted by law. BDP reserves the right to suspend work or withhold delivery for non-payment.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties attorn to the exclusive jurisdiction of the courts of Ontario.
16. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements, whether written or oral. Any amendments must be in writing and agreed to by both parties.
